JOB TITLE: Company Secretary/Legal Adviser
LOCATION: Jalingo
REQUIREMENTS/EXPERIENCE:
- Candidate must possess LLB, BL;
- Computer Literacy is necessary;
- Post Call Experience;
- Candidate must have good knowledge of Company Law and Companies and Allied Matters Act (CAMA) 1990 etc.
The Company Secretary/Legal Adviser’s duties shall include among others, the following:
- To attend Meetings of the Board of Directors and its Committee;
- To take minutes of such meetings;
- To render all necessary secretarial services in respect of all meetings and advise on compliance by the meeting with applicable rules and regulations;
- To keep all records required to be kept by the Company under the law;
- To keep seal of the Company and other legal documents;
- To draft Contract Agreements, Deeds of Assignment etc;
- Preparation of Memorandum and Articles of Association and Incorporation of Companies;
- To summon for meetings at the instance of the Board of Directors by the issuance of notices;
- To attend in good time and ensure that adequate arrangements are made for the meeting;
- To profer legal advice to the Board and Management as and when necessary;
- To represent the Company in all legal matters including litigations.
